Expanded Due Diligence and Financial Consulting
SITUATION:
The Buyer has done all the preliminary study he can. He has
talked with the Consultant and discussed the business
thoroughly. The Buyer has gone back and collected more
information from the Seller and needs further help or
assistance from the Consultant, relating to the business,
its financial statements, the real estate lease,
negotiations or valuing the business.
ACTION TO BE TAKEN: The Consultant discusses the business with the Buyer, giving any help requested or needed. This is done without the consultant physically leaving his office. The Buyer can have this conversation over the phone or in-person.
Further actions that can Be Taken—After Escrow Is Opened: Legal staff reviews the lease. Then assist in negotiating any changes to the lease that are desired by the Buyer. When a new lease is called for, the staff will help negotiate the new lease. Inventory review or valuation service.
When a business is purchased, there may be resale inventory not included in the purchase price. The seller expects the buyer to pay for the entire inventory regardless of the marketability or suitability of this inventory. The inventory must be counted, priced and obsolete inventory taken for nothing or trashed.
