  Extensive Due Diligence Service

SITUATION: An agreement has been reached between the buyer and seller. Buyer has hopefully arranged in the offer for twenty-one days to complete the due diligence. The Consultant may or may not have already had, at the Buyers option, an extensive phone conversation with the Buyer to discuss the business in detail.

ACTION TO BE TAKEN: The Consultant or CPA drives to the Seller's business location. The Consultant accompanied by the Buyer meets with the Seller, at the business location, to do an interview, and inspect the business fully. The Sellers financial records are reviewed and proof of all questionable items are requested from the Seller and reviewed. Proof of undeclared cash income is verified, payroll records reviewed and unrecorded cash expenses are determined.

A Consultant or CPA spends the day with the Buyer reviewing anything that comes up and needs handling or discussing. The lease is reviewed and the Landlord is called, if needed, to negotiate any changes to the lease that are desired by the Buyer. If a new lease is required our staff attorney can assist in negotiating that lease.
